According to Sport, the transfer of Eldense has taken an unexpected turn. Former owner Pascual Pérez filed a court petition on Friday to freeze all shares of the club after current owner Carolina Órquín failed to repay a 1 million euro loan. If the court approves the freeze, the preliminary agreement between Messi and Eldense for the acquisition could be put on hold.

Legal proceedings were initiated after Órquín defaulted on the loan, which Elda businessman Pérez provided to her in December 2025. Messi's legal team is aware of the situation. The lawsuit filed in the Court of First Instance of Alcobendas demands that Órquín repay the debt. It comes a month after payment reminders were sent via fax and electronic means, but the Colombian businesswoman, along with her husband and business partner Juan Carlos Trujillo, did not respond.

The debt amount, acknowledged by Órquín herself, is 1.09 million euros, with a repayment deadline of June 30. A supplementary agreement had previously been signed by both parties, postponing the original repayment date from March 31.

Pascual Pérez's legal representatives maintain that the timing of the lawsuit with the announcement of Messi's acquisition of Eldense is purely a "coincidence." They state the judicial action was taken due to an inability to reach an agreement with Órquín.

The Colombian businesswoman, represented in negotiations by lawyer Javier Tebas Llaneza, had proposed a solution to Pérez: settle the debt on the day of the club transfer through a credit transfer. However, these verbal proposals never materialized into a written agreement.

The loan was signed by Carolina Órquín in her personal capacity on December 23, 2025, to address Eldense's liquidity needs. At that time, the club faced unpaid wages from October and November, though management had paid back salaries to employees and players by early December. The actual amount disbursed was 998,000 euros, which is the sum the creditor is seeking in the lawsuit.

Although the contract did not explicitly establish collateral, Pérez believes Eldense's shares are Órquín's only known asset in Spain. Therefore, he applied to freeze the shares, reasoning that if she transfers them, there would be no guarantee for debt recovery in Spain.

According to the complaint, Pascual Pérez stated he does not intend to block the sale, but rather to ensure the transaction proceeds with full awareness of the debt and that repayment is included in the deal. The plaintiff has also requested that the court notify the Higher Sports Council of the freezing measure, as this body must approve transfers of club ownership. Should the transaction be completed before the freezing order is issued, Pérez requests the right to freeze Órquín's right to receive the transfer proceeds and seeks to have up to 998,000 euros, plus interest and legal costs, held in judicial deposit.
